1. Acceptance of Terms

Welcome to VoltPay. These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VoltPay ("VoltPay," "we," "our," or "us") governing your use of our payment processing platform and related services (the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

  • "Account" means your VoltPay user account
  • "Merchant" means any business or individual who accepts payments through our Service
  • "Customer" means any individual or entity making a payment to a Merchant
  • "Transaction" means any payment, refund, or transfer processed through our Service
  • "Prohibited Business" means any business activity listed in Section 7
  • "Chargeback" means a reversal of a Transaction initiated by a Customer's financial institution

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use our Service, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into binding contracts
  • Be authorized to act on behalf of your business (if applicable)
  • Not be located in a restricted jurisdiction
  • Not have been previously suspended or banned from our Service

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and maintain the accuracy of your Account information. You are responsible for safeguarding your Account credentials and for all activities that occur under your Account.

3.3 Verification

We may require identity verification, business documentation, and additional information to comply with regulatory requirements. Failure to provide requested information may result in Account limitations or closure.

4. Use of the Service

4.1 Permitted Use

You may use our Service to:

  • Process legitimate payments for goods and services
  • Manage your payment processing settings and preferences
  • Access transaction reports and analytics
  • Integrate our Service with your applications via our API

4.2 Prohibited Use

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws, regulations, or third-party rights
  • Process payments for Prohibited Businesses (Section 7)
  • Engage in fraudulent or deceptive practices
  • Attempt to circumvent our security measures
  • Reverse engineer, decompile, or disassemble our technology
  • Use the Service to compete with VoltPay
  • Transmit viruses, malware, or harmful code

4.3 API Usage

API access is subject to rate limits, usage restrictions, and our API Terms. You must comply with our documentation and best practices when integrating our API.

5. Payment Processing

5.1 Transaction Processing

We process Transactions on your behalf by transmitting Transaction information to payment processors, card networks, and financial institutions. Processing times may vary based on payment method and other factors.

5.2 Settlement

Subject to these Terms, we will transfer funds from successful Transactions to your designated bank account according to your settlement schedule, minus applicable fees and reserves.

5.3 Reserves and Risk Management

We may establish reserves, delay settlements, or require additional security based on risk factors including but not limited to: business type, processing history, chargeback rates, and compliance requirements.

5.4 Refunds and Cancellations

You are responsible for managing refunds and cancellations with your Customers. We provide tools to process refunds, but you remain liable for all refund obligations.

6. Fees and Pricing

6.1 Transaction Fees

You agree to pay transaction fees as outlined in your pricing agreement or as displayed in your Account dashboard. Fees are deducted from Transaction proceeds before settlement.

6.2 Additional Fees

Additional fees may apply for:

  • Chargebacks and disputes ($15-25 per occurrence)
  • Failed bank transfers ($5 per occurrence)
  • Account inactivity ($25 per month after 12 months of inactivity)
  • Premium support services
  • Custom integrations and development

6.3 Fee Changes

We may modify our fees with 30 days' notice. Continued use of the Service after such notice constitutes acceptance of the new fees.

7. Prohibited Businesses

7.1 Restricted Activities

The following business types and activities are prohibited:

Illegal Activities

  • Money laundering, terrorist financing, or sanctions violations
  • Drug trafficking, illegal pharmaceuticals, or controlled substances
  • Counterfeit goods, pirated software, or intellectual property infringement
  • Illegal gambling or betting activities
  • Any activity prohibited by applicable law

High-Risk Industries

  • Adult entertainment, escort services, or sexually explicit materials
  • Weapons, ammunition, or explosive materials
  • Multi-level marketing or pyramid schemes
  • Cryptocurrency trading or mining services
  • Debt collection or credit repair services
  • Payday loans or cash advances
  • Timeshares or investment opportunities

Regulated Industries

  • Cannabis and CBD products (where not explicitly permitted)
  • Prescription pharmaceuticals without proper licensing
  • Financial services without appropriate licenses
  • Legal marijuana (subject to state and local compliance)

8. Chargebacks and Disputes

8.1 Chargeback Process

When a Customer disputes a Transaction with their bank, we will notify you and provide tools to respond. You have the opportunity to provide evidence supporting the Transaction's validity.

8.2 Liability for Chargebacks

You are liable for all Chargebacks, associated fees, and any resulting financial losses. We may deduct chargeback amounts and fees from your Account balance or reserves.

8.3 Excessive Chargebacks

Chargeback rates exceeding 1% may result in Account review, additional reserves, higher fees, or Account suspension. We may implement a Chargeback Monitoring Program for high-risk Accounts.

9. Data and Privacy

9.1 Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for ensuring you have proper consent and legal basis for sharing Customer data with us.

9.2 PCI Compliance

We maintain PCI DSS Level 1 compliance. If you handle cardholder data directly, you must also comply with applicable PCI DSS requirements.

9.3 Data Sharing

You authorize us to share Transaction data with payment processors, financial institutions, and other service providers as necessary to provide the Service.

10. Intellectual Property

10.1 VoltPay Property

The Service, including all technology, software, designs, and trademarks, is owned by VoltPay and protected by intellectual property laws. You receive only a limited, non-exclusive license to use the Service.

10.2 User Content

You retain ownership of your business data and content. By using the Service, you grant us a license to use, process, and transmit your data as necessary to provide the Service.

10.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without restriction or compensation.

11. Account Suspension and Termination

11.1 Termination by You

You may terminate your Account at any time by providing 30 days' written notice. You remain liable for all obligations incurred before termination.

11.2 Termination by Us

We may suspend or terminate your Account immediately if you:

  • Violate these Terms or our policies
  • Engage in prohibited business activities
  • Have excessive chargebacks or disputes
  • Fail to pay fees or provide required information
  • Pose a risk to VoltPay or the payment ecosystem

11.3 Effect of Termination

Upon termination, we will cease processing new Transactions but may hold reserves for up to 180 days to cover potential chargebacks and liabilities.

12. Limitation of Liability

12.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

12.3 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, network failures, or third-party service disruptions.

13. Indemnification

You agree to indemnify, defend, and hold harmless VoltPay from any claims, damages, losses, or expenses (including attorney fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or regulation, (d) chargebacks and disputes related to your Transactions, or (e) any claims by your Customers.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

14.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California.

14.3 Class Action Waiver

You waive any right to participate in class action lawsuits or class-wide arbitration against VoltPay. All disputes must be resolved individually.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and VoltPay.

15.2 Modifications

We may update these Terms periodically. Material changes will be communicated via email or through the Service. Continued use after such notice constitutes acceptance of the updated Terms.

15.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.4 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations at any time.
